Terms & Conditions

(Applicable for all clients engaging NKM Digital for services)

These Terms & Conditions (“Agreement”) govern the engagement between NKM Digital (“Company”, “we”, “our”) and the Client (“you”, “your”). By making the initial payment, you acknowledge and agree to the following:

  1. Payment Terms
    • To begin the project, you must pay 50% of the project value upfront as an advance.
    • The remaining 50% balance must be paid before the final delivery of the project.
    • NKM Digital will not deliver or transfer the project files, website access, or any final deliverables until the full payment is received.
    • All payments are subject to applicable GST and other taxes as per Indian law.
  1. Project Delivery & Access
    • Once full payment is made, the project will be delivered, and you will receive complete access and ownership of the project along with all relevant files.
    • Project timelines will begin only after the initial payment is received and required materials/content are provided by you.
  1. Client Responsibilities
    • You are solely responsible for the authenticity and copyright clearance of all content, images, media, or files shared with NKM Digital for use in your project.
    • NKM Digital will not be held liable for any copyright violations, plagiarism claims, or third-party disputes arising from client-provided content.
  1. Support & Maintenance
    • NKM Digital will provide 7 days of free support after final delivery. This includes:
      • Minor bug fixes
      • Technical issue resolution
      • Small updates (not exceeding the original scope)
    • Any additional work, new features, or scope changes beyond the agreed project will be charged separately, based on requirements.
  1. Project Scope & Pricing
    • After initial discussions, NKM Digital will provide the final quotation and project timelines.
    • Any additional requirements raised after project commencement will be treated as new work and will be subject to additional charges and revised timelines.
  1. Cancellation & Refunds
    • If you choose to cancel the project, the initial 50% advance payment is non-refundable.
    • In such cases, NKM Digital may, at its discretion, provide you with the work completed till the date of cancellation.
    • If the cancellation is initiated by NKM Digital due to unforeseen circumstances, any unutilized amount (after deducting work completed) may be refunded.
  1. Force Majeure & Unexpected Events
    • In case of unexpected events such as natural disasters, accidents, pandemics, or sudden death of a team member, if the project is completed but not delivered, NKM Digital will not charge any additional fee.
    • However, the initial advance will remain non-refundable.
    • If family members or legal representatives of the client request the final project, the remaining balance must be paid in full before delivery.
  1. Confidentiality
    • Both parties agree to maintain confidentiality of all project-related information, business strategies, and data exchanged during the engagement.
    • NKM Digital may showcase the final completed project in its portfolio, case studies, or marketing materials, unless the client requests in writing not to.
  1. Limitation of Liability
    • NKM Digital shall not be held liable for:
      • Delays caused due to late submission of content or approvals by the client
      • Losses arising from third-party services, hosting providers, or software
      • Any indirect, incidental, or consequential damages
  1. Governing Law & Dispute Resolution
    • This Agreement shall be governed by the laws of India.
    • Any disputes shall first be resolved amicably through discussion. If unresolved, they shall fall under the exclusive jurisdiction of the courts of Jaipur, Rajasthan, India].
  1. Acceptance of Terms
    • By making the initial advance payment, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.
  2. Domain & Hosting Services

    12.1 Shared Hosting Access

    • If you purchase our shared domain and hosting services, please note that we will not provide individual hosting credentials, as the server is shared.

    • We use Hostinger servers to host all websites. By agreeing to our Terms & Conditions, you also agree to Hostinger’s Terms of Service.

    12.2 Hosting Renewal & Pricing

    • Hosting services are renewed on a yearly basis.

    • We will notify you one month before the renewal date.

    • If payment is not made before the renewal date, NKM Digital will not be responsible for website suspension, data loss, or deletion.

    • Our hosting prices may change on a yearly basis, in line with Hostinger’s pricing policies and currency fluctuations.

    12.3 Hosting Charges & Scope

    • The hosting cost includes only the server price.

    • Any modifications in DNS settings, domain configurations, email setups, SSL installations, or website adjustments will incur additional charges.

    • Charges may also apply if you request migration to another hosting provider.

    12.4 Security & Maintenance

    • NKM Digital is not responsible for virus attacks, malware, hacking incidents, or data breaches unless you are subscribed to our Website Maintenance Plan.

    • The client is responsible for maintaining strong passwords and avoiding unsafe plugins or scripts that may compromise the website.

    12.5 Uptime & Data Backup

    • While Hostinger provides high uptime, NKM Digital does not guarantee 100% uptime or uninterrupted service.

    • NKM Digital will not be responsible for any data loss due to server issues, non-renewal, or client-side errors. We recommend clients maintain regular backups of their websites.

Website Maintenance Plan – Terms & Conditions

By subscribing to the Website Maintenance Plan (“Plan”) offered by NKM Digital (“Company”, “we”, “our”), you (“Client”, “you”) agree to the following terms:

1. Service Inclusions

1.1 Uptime Monitoring & Recovery – If your website goes down or is hacked, we will ensure the website is restored and brought online within 1 hour of detection/reporting.

1.2 Regular Backups – We will take weekly backups of your website to minimize the risk of data loss.

1.3 Technical Support – The Plan includes monitoring, updates, and troubleshooting of the website to ensure smooth performance.

2. Service Exclusions

2.1 The Maintenance Plan does not include:

  • Digital marketing, SEO, or advertising services

  • Major website design changes or layout modifications

  • Addition of new pages, features, or third-party integrations

  • Content writing, graphic design, or video creation

2.2 Any such requirements will be considered additional work and may be charged separately based on the scope.


3. Payment Terms

3.1 The Maintenance Plan is billed on a monthly basis.

3.2 Payment must be made within 7 days from the start date of each billing cycle.

3.3 If payment is not received within this period, the Plan may be suspended or terminated without further notice.

4. Client Responsibilities

4.1 The Client must provide timely access to hosting, CMS, or third-party tools when required for maintenance.

4.2 The Client must avoid installing unsafe plugins, themes, or scripts without prior consultation, as they may compromise the security of the website.


5. Security & Third-Party Tools

5.1 While we take all reasonable measures to secure your website, NKM Digital shall not be held liable for damages caused by:

  • Third-party hosting/server failures

  • Vulnerabilities in third-party plugins or themes

  • Force majeure events beyond our control

5.2 Recovery from such issues will be included under the Plan only if feasible within the service scope.


6. Termination of Services

6.1 Either party may terminate the Plan with 7 days written notice.

6.2 Upon termination, backups and data maintained under the Plan will no longer be available unless separately agreed.


7. Limitation of Liability

7.1 NKM Digital will take all necessary precautions for security, uptime, and backups, but does not guarantee 100% protection against unforeseen cyber-attacks, server outages, or software failures.

7.2 In no case shall NKM Digital be liable for indirect or consequential losses arising from downtime, data loss, or third-party services.
